The agreement between you and Wellyoh LLC. Please read it carefully. Last updated October 13, 2026.
Please read these Terms carefully. They limit Wellyoh's liability and affect your legal rights. They include a disclaimer of all warranties (Section 11), a limitation of liability and a cap on damages (Section 12), an indemnification obligation (Section 13), a release of claims (Section 14), a binding arbitration agreement with a class-action and jury-trial waiver (Section 16), and a one-year deadline to bring claims (Section 17). By using Wellyoh, creating an account, checking "I agree," claiming a listing, or making a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms.
These Terms & Conditions ("Terms") govern your access to and use of Wellyoh, operated by Wellyoh LLC ("Wellyoh," "we," "us," "our"), including its website, listings, search, and related services (the "Service"). By accessing or using the Service, creating an account, claiming a listing, or making a purchase, you agree to these Terms, our Privacy Policy, Return & Refund Policy, and Disclaimer, each incorporated here by reference. If you do not agree, do not use the Service.
You must be able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.
Minors & children under 13. All users who are minors in the jurisdiction in which they reside (generally under 18) must have the permission of, and be directly supervised by, a parent or guardian to use the Service. The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13 (consistent with the Children's Online Privacy Protection Act, "COPPA"). If we learn we have collected such information, we will delete it.
Where you may use the Service. The information provided on the Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement. Those who access the Service from other locations do so on their own initiative and are solely responsible for compliance with local laws.
Protected Health Information (PHI). Wellyoh is not intended to receive or transmit Protected Health Information (PHI). You should not submit medical records, insurance information, diagnosis information, or other PHI through the Service. The Service is not designed or tailored to comply with industry-specific regulations such as HIPAA, FISMA, or GLBA, and you are responsible for not transmitting PHI or other regulated data through it. Wellyoh is not a covered entity or a business associate under HIPAA solely by operating this directory.
Wellyoh is a tool for discovering and refining a search for health, wellness, and related service providers and resources. All listing information is self-reported, provided by the listed party, or compiled from public records and third-party sources, and is not independently confirmed by Wellyoh.
Availability & details change. Provider availability, pricing, insurance participation, appointment availability, wait times, hours, and acceptance of new patients may change at any time without notice, and Wellyoh does not confirm or guarantee any of them.
No reliance. Any decision to contact, visit, hire, or rely on a listed party is yours alone, based on your own independent judgment and verification. You acknowledge that you do not rely on Wellyoh in selecting, evaluating, or contacting any provider. You are responsible for confirming a provider's licensure, credentials, insurance, and suitability directly with the appropriate licensing board or regulator before relying on any listing.
No representation of quality; ranking; paid listings. Inclusion in the directory is not a representation, endorsement, or guarantee of any provider's quality, competence, or suitability. Search order, ranking, and placement are generated automatically from relevance, filters, distance, and similar factors and do not imply quality or endorsement. Some providers pay for enhanced listings, features, or placement; payment does not imply Wellyoh's recommendation, endorsement, or verification.
Not for credentialing or screening decisions. The Service is not intended for, and may not be used for, governmental, employment, tenant, insurance, credentialing, or licensing decisions, and may not be used as a "consumer report" under the Fair Credit Reporting Act (FCRA).
Nothing available through the Service constitutes medical advice. Nothing on the Service, including listings, keywords, descriptions, ratings, glossary entries, or educational pages, is medical, health, legal, or other professional advice, a diagnosis, a treatment, or a recommendation, and it is not a substitute for professional care. Users should never delay, disregard, or stop seeking professional medical care because of information found on, or absent from, the Service. Always talk to your own qualified healthcare provider about your specific situation. See our Disclaimer.
Some of Wellyoh's own informational content may be gathered or organized with the help of software, including artificial intelligence, and may contain errors. It is general information only and not advice. At the time of publication, Wellyoh does not provide AI-powered chat interactions or generative-AI features to users, and user searches are processed by conventional software rather than an AI model. This may change as Wellyoh's technology evolves, and any material change will be reflected in these Terms.
Some listings are "unclaimed" and are compiled from public government data and other public sources, including the federal National Plan and Provider Enumeration System (NPPES) National Provider Identifier (NPI) registry, without the involvement, submission, or review of the listed party. Wellyoh displays this public information without requiring authorization from the listed provider, the same way other established healthcare-provider directories (such as Healthgrades, Vitals, Zocdoc, and Doximity) display NPPES and other public-record data.
To claim, edit, enhance, or control a listing, you must create a provider account, verify that you are the listed provider or an authorized representative, and agree to these Terms, the Privacy Policy, and the Return & Refund Policy.
You represent and warrant that all information you submit is accurate and that you have the right to submit it and to authorize its public display. You are solely responsible for your listing's content. Attempting to claim, or claiming, a listing you are not authorized to control, or submitting false information in a claim, is prohibited and may result in immediate and permanent termination of your account and removal of the listing, in addition to any other remedies. Wellyoh may, at its sole discretion and without liability, edit, refuse, suspend, or remove any listing or account.
Using Wellyoh does not create a medical, clinical, legal, financial, or professional relationship between you and Wellyoh. Wellyoh is not a party to, and is not responsible or liable for, any interaction, communication, appointment, treatment, service, transaction, or dispute between you and any listed party or other user.
You knowingly and voluntarily assume the entire risk arising from your use of the Service, from any reliance on any listing or information, and from any contact, dealing, or transaction with any provider, resource, or other user. Our pricing and these Terms reflect this allocation of risk.
Reviews are star ratings only and require a registered account. They reflect the opinions of the individuals who submit them, are not verified by Wellyoh, may not represent all experiences, and do not represent Wellyoh's views. Wellyoh does not verify whether a reviewer actually received services from the party rated, and does not provide compensation in exchange for reviews; any material connection between a reviewer and a provider that we become aware of would be disclosed consistent with FTC guidance. You may only rate parties with whom you have had a genuine, firsthand experience, and you may not submit false, unlawful, infringing, harassing, or discriminatory content.
Content you may not submit. You are responsible for everything you submit, listings, ratings, messages, images, biographies, and other materials ("your content"). You agree not to submit content that:
This list is illustrative, not exhaustive. Consistent with Section 230 (below), Wellyoh may, but is not obligated to, review, screen, decline, edit, or remove any content at its sole discretion, without notice or liability. Submitting prohibited content may result in removal of the content and suspension or permanent termination of your account, in addition to any other remedy.
Messaging & contacting listed parties. Wellyoh offers a contact/message feature so a person can reach a listed party through the Service. When you use it, you agree to send only genuine, relevant, and lawful messages, and not to: send spam or bulk, automated, repetitive, or unsolicited commercial messages; advertise, solicit, or promote goods or services unrelated to the recipient's listing; impersonate anyone or misstate your affiliation; harvest, scrape, or collect other users' email addresses or contact information; transmit protected health information (PHI) or sensitive medical details; or send anything that would violate the "Content you may not submit" rules above. Messaging is not a real-time, guaranteed-delivery, or emergency channel, Wellyoh does not monitor messages as they are sent and cannot respond to emergencies (see Section 15). We may rate-limit, filter, delay, suspend, or disable messaging for any account to prevent abuse, without notice or liability.
For any content you submit (including listings, ratings, and messages), you retain ownership of your content and grant Wellyoh a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to host, use, reproduce, modify, adapt, publish, and display that content in connection with operating and promoting the Service. This license does not transfer ownership. You represent that you have all rights necessary to grant it. If you delete content or your listing, we may retain archival, backup, or legally required copies, and previously displayed or cached content may persist for a period.
Third-party content & Section 230. Wellyoh is an interactive computer service that hosts and displays information provided by others, including provider listings (whether submitted by a provider or compiled from public-record sources such as the NPI/NPPES registry) and user reviews, ratings, and messages. Consistent with Section 230 of the Communications Decency Act, 47 U.S.C. § 230, including § 230(c)(1) (Wellyoh shall not be treated as the publisher or speaker of information provided by another content provider) and § 230(c)(2) (protecting good-faith actions to restrict or remove objectionable content), Wellyoh and its owners, members, and staff are not liable for content created or supplied by third parties, and any good-faith decision to display, decline, edit, screen, or remove content does not make Wellyoh the publisher or speaker of it. Wellyoh may remove or edit content for formatting, categorization, spam prevention, legal compliance, or user experience without assuming responsibility for the underlying content. Concerns about a specific listing or review should be directed to the party who created it or reported to us through our contact form.
You agree not to: (a) scrape, harvest, crawl, or bulk-collect data or contact information from the Service; (b) use the Service unlawfully or for any unlawful, fraudulent, harassing, or harmful purpose; (c) misrepresent your identity or authority; (d) upload malware or interfere with the Service's security or operation; (e) reverse engineer or attempt to access non-public areas; (f) use the Service to compete with or replicate Wellyoh; or (g) use the provider directory, provider listings, member communications, or the contact/message feature to advertise, market, or solicit business-to-business, vendor, supplier, or marketing services to providers or other users.
Business-to-business solicitation. The provider directory exists to connect the public with wellness providers and resources, not as a channel for selling products or services to those providers. If you offer goods or services to wellness professionals or organizations (for example marketing, software, staffing, supplies, or consulting), you must list in Wellyoh's Business/Organization directory rather than soliciting through the provider directory or its messaging tools. Solicitation in breach of this section may result in removal of the content and suspension or termination of your account.
No automated access, no scraping, crawling, or use of the Service via any bot or automated means, and no access through any application programming interface (API), is permitted without our prior written permission. We may use technical measures to detect and prevent abuse, and we reserve the right to block IP addresses, terminate bots or accounts, employ technical countermeasures, and pursue damages and other remedies against violators.
Paid subscriptions and advertising placements are billed on a recurring basis and renew automatically until cancelled. By purchasing, you authorize us and our payment processor to charge your payment method on a recurring basis. Our Return & Refund Policy is incorporated into these Terms: all sales are final and non-refundable except where required by law. You may cancel to stop future charges; cancellation is not retroactive and does not entitle you to a refund of amounts already paid.
Payment method on file & cancellation. To hold a paid plan, you must add and keep a valid payment method on file. You may cancel a paid subscription at any time; your listing remains visible through the end of the period you have already paid for and is then archived. Amounts already paid are non-refundable, and cancellation is not retroactive.
Free / promotional periods. If your plan includes a free or promotional period, your saved payment method is automatically charged for the next period as that free period ends. To ensure your listing does not lapse, this charge may post up to five (5) days before the free period's end date. This early charge is made solely to prevent any interruption of your listing; your next billing cycle still begins on the originally scheduled renewal date, and posting the charge early does not shorten or shift that cycle. To avoid being charged, you must cancel at least six (6) days before your free or promotional period ends. If your account is still active within five (5) days of that end date, your payment method will be charged for the next period, and that charge, like all others, is non-refundable. It is your responsibility to keep your payment method current.
Payment processing & taxes. Payments are processed by one or more third-party payment processors under their own terms and privacy practices; Wellyoh does not store full payment-card numbers. Unless stated otherwise, prices shown are inclusive of any taxes Wellyoh is required to collect; you remain responsible for any taxes that apply to you.
The Service, including its software, design, text, graphics, logos, and compilation of listings, is owned by Wellyoh or its licensors and is protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended, personal or internal business purposes. All rights not expressly granted are reserved. "Wellyoh" and our logos are our trademarks; you may not use them without permission.
The Service may link to or integrate third-party websites, providers, or services (including a payment processor). We do not control and are not responsible for third-party content, products, services, or practices, and your dealings with them are solely between you and the third party.
The service and all information, listings, and content are provided "as is" and "as available," with all faults and without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Wellyoh disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, and any warranty that the service will be uninterrupted, secure, error-free, or that any information is accurate, complete, or current.
We do not guarantee that content or data will be preserved, uninterrupted, or error-free, and we recommend that you retain your own copies of any information you submit.
To the fullest extent permitted by law, Wellyoh and its owners, members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, or for any injury, harm, or damages arising out of or relating to your use of (or inability to use) the service, any listing, any interaction with any provider or user, or any reliance on any information, whether based in contract, tort, negligence, strict liability, or otherwise, and even if advised of the possibility of such damages.
In all cases, Wellyoh's total aggregate liability for all claims arising out of or relating to the service or these terms will not exceed the greater of (a) the total amounts you paid to Wellyoh in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
These limitations and exclusions are a fundamental and essential basis of the bargain between you and Wellyoh, are reflected in our pricing, and apply even if any limited remedy is found to fail of its essential purpose. They apply regardless of the theory of liability, whether in contract, tort, statute, or otherwise.
Some jurisdictions do not allow certain limitations; in those places, the above applies to the maximum extent permitted. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for a party's gross negligence, willful misconduct, or fraud or fraudulent misrepresentation, or for personal injury or death caused by a party's negligence.
No personal liability. To the fullest extent permitted by law, your sole recourse for any matter arising out of or relating to these Terms or the Service is against Wellyoh LLC (the entity), and not against any of its members, owners, officers, employees, or agents in their personal capacity.
You agree to indemnify, defend, and hold harmless Wellyoh and its owners, members, officers, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your content, listing, or ratings; (c) your interactions or transactions with any provider, user, or third party; (d) your violation of these Terms or any law; or (e) your violation of the rights of any third party.
Because Wellyoh is not a party to interactions between users and listed parties, you release Wellyoh and its owners, members, officers, employees, and agents from any and all claims, demands, disputes, and damages of every kind, known and unknown, arising out of or in any way connected with such interactions, any provider or resource, or any information on the Service. If you are a resident of a jurisdiction that limits such releases, you waive the benefit of any statute or rule to the extent permitted by law.
Wellyoh is not an emergency service and cannot dispatch help. In a life-threatening emergency, call 911 (or your local emergency number). See our emergency & crisis resources. Wellyoh does not monitor, review, or act on messages or content in real time and cannot respond to emergencies, never use the Service to communicate an emergency, a crisis, or a need for urgent help.
Please read this section carefully, it affects your legal rights. Before starting any formal proceeding, you and Wellyoh agree to try to resolve any dispute informally for at least 90 days after written notice through our contact form.
If not resolved, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA), rather than in court, except that either party may bring an individual claim in small-claims court. The arbitration will be conducted under the AAA's Consumer Arbitration Rules where the dispute involves a consumer, or its Commercial Arbitration Rules where the dispute involves a business or commercial party, in each case as in effect when the arbitration is commenced. Arbitration and filing fees are allocated according to the applicable AAA rules and fee schedules, and hearings may be conducted by video or telephone unless the arbitrator orders otherwise. The seat and location of the arbitration is Ascension Parish, Louisiana, and any judgment on the award may be entered in the courts identified in Section 17.
You and Wellyoh agree that each may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims. You and Wellyoh each waive any right to a jury trial.
Severability of this Section. If the class-action waiver above is found unenforceable, that waiver is severable, the remainder of this arbitration agreement remains in effect, and any class or representative claim shall proceed only in court (not in arbitration). If arbitration is found unenforceable as to a particular dispute, that dispute proceeds in the courts identified in Section 17, and the jury-trial waiver in Section 17 applies.
Attorneys' fees. To the extent permitted by applicable law, the prevailing party in any dispute, claim, arbitration, or proceeding arising out of or relating to these Terms or the Service shall be entitled to recover its reasonable attorneys' fees and costs. For this purpose, the "prevailing party" is the party that obtains substantially the relief it sought (or successfully defends against the relief sought). This provision applies equally and mutually to you and to Wellyoh.
These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-laws rules and excluding the Louisiana Uniform Computer Information Transactions Act (to the extent applicable). Subject to Section 16, the exclusive venue for any permitted court proceeding is the state courts having jurisdiction in Ascension Parish, Louisiana, the parish in which Wellyoh is based (Prairieville, Louisiana), and, where federal jurisdiction exists, the United States District Court for the Middle District of Louisiana. You irrevocably consent to the personal jurisdiction of those courts and waive any objection to venue.
Jury-trial waiver (in court). To the extent any dispute proceeds in court, including if arbitration is held unenforceable, you and Wellyoh each knowingly and voluntarily waive any right to a trial by jury.
Time to bring a claim. To the fullest extent permitted by applicable law, any claim or cause of action arising out of or relating to these Terms or the Service must be commenced within one (1) year after the claim accrues, or it is permanently barred. This limitation does not apply where prohibited by applicable law.
We may suspend or terminate your access to the Service or any listing at any time, with or without notice, for any reason, including any suspected violation of these Terms. We may also modify, suspend, or discontinue the Service, or any part or feature of it, at any time, with or without notice, and without liability.
Survival. Any provision that by its nature should survive termination survives, including, without limitation, the disclaimers of warranty, limitation of liability, indemnification, release, arbitration and class-action waiver, jury-trial waiver, intellectual-property provisions, DMCA/copyright policy, licensure provisions, payment obligations, governing law and venue, time-to-bring-claims, and this survival provision.
We may update these Terms as Wellyoh develops. We will update the "last updated" date, and material changes may be highlighted. Your continued use of the Service after an update means you accept the revised Terms.
You consent to receive communications from us electronically, including notices, disclosures, agreements, invoices, receipts, policy updates, and legal notices, by email, through the Service, or by posting online, and you agree that electronic communications satisfy any legal requirement that a communication be in writing. Clicking "I agree," creating an account, claiming a listing, or making a purchase constitutes your electronic signature and your intent to be bound under the federal Electronic Signatures in Global and National Commerce Act ("E-SIGN," 15 U.S.C. § 7001 et seq.) and applicable state law. You may withdraw consent to electronic communications by closing your account, but that may end your ability to use the Service.
You represent and warrant that you are not located in, and will not access or use the Service from, any country or region subject to U.S. embargo or comprehensive sanctions, and that you are not identified on any U.S. government restricted-party, denied-party, or sanctions list (including lists maintained by the Office of Foreign Assets Control). You agree to comply with all applicable export-control, trade, and economic-sanctions laws in connection with your use of the Service.
Wellyoh is committed to improving the accessibility of the Service and works toward conformance with recognized accessibility standards. However, we do not warrant that the Service is or will be fully accessible, uninterrupted, or error-free. Accessibility is an ongoing effort; if you encounter a barrier, please contact us through our contact form and we will make reasonable efforts to address it.
Wellyoh respects intellectual-property rights and responds to notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on the Service (such as a photo, logo, or biography) infringes a copyright you own or control, send a written notice to our designated DMCA agent through our contact form that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (d) your name, address, and contact information; (e) a statement that you have a good-faith belief the use is not authorized by the owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or are authorized to act on the owner's behalf.
Upon receipt of a valid notice, we will remove or disable access to the material and, where appropriate, notify the party who supplied it, who may submit a counter-notice as permitted by the DMCA. Repeat infringers. Wellyoh will, in appropriate circumstances and at its discretion, disable or terminate the accounts of users who are repeat infringers.
Each provider and listed party is solely responsible for obtaining and maintaining all licenses, certifications, registrations, permits, bonds, and insurance required for their services, and for complying with all laws, regulations, and professional and ethical standards applicable to them. Wellyoh does not monitor, verify, or guarantee any provider's licensure, certification, credentials, insurance, or disciplinary status, whether at the time a listing is created or on any ongoing basis, and is not responsible if a provider lacks, loses, or has restricted or suspended any license or credential, or becomes subject to disciplinary or legal action. You are responsible for independently confirming a provider's licensure and good standing with the appropriate licensing board or regulator before relying on any listing.
These Terms, together with the policies incorporated by reference, are the entire agreement between you and Wellyoh regarding the Service. If any provision is found unenforceable, it will be modified only to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver. You may not assign these Terms; we may assign or transfer them, in whole or in part, including in connection with a sale, merger, reorganization, financing, bankruptcy, or purchase of assets. We are not liable for delays or failures caused by events beyond our reasonable control (including cyberattacks, ransomware, hacking or infrastructure attacks, internet, hosting, cloud, DNS, or CDN failures, payment-processor, AI, or other vendor outages, government action, labor disputes, epidemics or pandemics, or natural disasters). Questions or legal notices may be sent through our contact form.
Wellyoh Bulletins is an optional classifieds board included with a provider membership, where provider members may post notices such as office space, equipment or furniture, books and manuals, practice sales, and job openings. Bulletins is a listing board, not a marketplace: Wellyoh does not process payments for bulletin items, take part in any resulting transaction, or act as an escrow, broker, or agent for any party.
Wellyoh is not responsible for Bulletins content or transactions. Bulletins are created by users, who are solely responsible for their postings and for the accuracy, legality, and condition of anything offered, sought, or advertised. Wellyoh does not create, endorse, verify, screen, or guarantee any bulletin, item, price, offer, employment opportunity, or party, and is not a party to and not liable for any communication, negotiation, sale, purchase, hiring, payment, or dispute arising between users. Consistent with Sections 5, 6, and 12, you knowingly assume the entire risk of any dealing that begins through a bulletin, and you should meet, inspect, verify, and transact off-platform with appropriate caution. Wellyoh may, but is not obligated to, review, decline, edit, or remove any bulletin, and may expire, cancel, or delete bulletins at its discretion (bulletins run for a limited period and dormant bulletins are eventually purged), all without notice or liability. The "Content you may not submit" and "Acceptable use" rules above (including the prohibition on business-to-business solicitation) apply fully to Bulletins.
